Management Structure:
The National overseer, the Coordinator, the Board, the Director the staff
The Coordinator
At present the Senior Pastor IPFA church, Dagoretti Corner Nairobi. Other possibilities:- Another senior pastor of IPFA branch or IPFA Regional Development Coordinator, subject to AGM resolution from time to time.
The Coordinator is the link person between the IPFA Church central Office and the Ministry.
The Director
The Director is responsible to the Coordinator and has a duty to keep the Coordinator informed of the day to day running and happenings of the Ministry. This takes place through frequent communications (i.e weekly consultation).
With due regard for the Director as the one responsible for the spirit and the day to day running of the Ministry and with due respect for the duties and powers of the Board. The Coordinator has the final responsibility for the ministry.
It is the Coordinator who takes on staff and terminates their employment. It is he who fixes their remuneration. If some kind of arbitration is called for he oversees this. Normally, however, day to day responsibility for the staff is in the hands of the Director.
The Director of IPFA Mercy Ministry is accountable to the Coordinator and the Board for all matters relating to the day to day running. The Director has a staff to assist in the smooth running of the ministry. Bearing in mind the charitable nature and funding of the projects we are implementing, the Director must know that “salaried staff” need be kept to a minimum. The director must therefore be ready to encourage, animate and direct “voluntary staff”.
The Board
Ex-officio Members: the Coordinator, the Director of IPFA Mercy Ministry, the chairperson of IPFA Dagoretti Corner church ( as long as IM remains a church based ministry). Appointed members are chosen by ex- officio members and presented for approval by the IPFA Dagoretti Corner church council and they shall not exceed 15 in number. The chairperson of the Board is elected by the Board.
The Board has a vice chairperson, a secretary and an assistant secretary and a treasurer all elected by the Board. The duration of the Board is 2 years but members can be eligible to serve again.
Further Details concerning the Board
1. An ordinary member of the Board may be removed for misconduct, persistent failure to attend meetings without apology or any other sufficient cause, provided that a resolution supporting removal is passed by two third of the members of the Board.
2. Meetings of the Board will ordinarily take place once a month (At present on the last Wednesday). 14 days notice shall be necessary for an extra ordinary meeting to be convened.
3. Resolutions shall generally be by consensus but any member may request a vote in which case a vote shall be by a show of hands.
4. The Board shall be seen to have sufficient quorum when 7 of its members are present.
5. The chairperson leads all meetings unless prevented by illness or other sufficient cause when the vice chairperson shall lead.
6. The secretary will take minutes at all meetings and notify members of an extraordinary meeting. Any correspondence coming from the Board will be dealt with by the secretary. In the absence of the secretary the assistant secretary will fulfill these duties.
7. The responsibilities of the Board are to oversee the smooth running of the organization by:-
- Receiving Director’s report each month
- Receiving a financial report each month
- Offering advice on personnel matters when the need arises
- Organizing fund raising to help with the running costs of the organization
- Sensitizing people to the ongoing support for the organization by way of looking for donors, sponsors, financial backers and so on.
- Looking for ways to publicize the objectives of the organization.
8. The powers of the Board are:-
- To call for reports that may be seen as helpful to the smooth running of the organization
- To organize subcommittee within the Board for such matters as fund raising events, specialized personnel questions, specialized financial questions and so on.
- To arrange for the audit of the Books of accounts of the organization at least once a year.
- To advice on hiring, retention, disciplining and motivation of staff.
